The passage of the Contracts Honoring Opportunity, Investment, Confidentiality, and Economic Growth (CHOICE) Act, effective July 1, 2025, provides unprecedented tools for enforcing non-compete and garden leave agreements against certain high-earning employees.

This legislation represents a significant departure from prior norms and a critical differentiator for businesses operating in Florida. An employer’s ability to protect its confidential data, customer relationships, and investment in specialized training is directly tied to its ability to enforce these covenants. The CHOICE Act and the state’s existing statute, Fla. Stat. § 542.335, create a two-tiered system that requires sophisticated legal guidance to navigate effectively. A failure to understand and leverage this new regime is a failure to protect the core assets of the business.

For covered employees (those earning over a specific salary threshold), we design non-compete and garden leave agreements that meet the Act’s strict technical requirements. This includes providing written notice of the right to counsel, allowing at least seven days for review, obtaining written acknowledgment of access to confidential information, and adhering to specific terms for garden leave pay.  

A properly drafted CHOICE-compliant agreement creates a strong presumption of enforceability for a restrictive period of up to four years—a significant increase from the previous two-year presumptive limit. Crucially, it mandates that courts issue a preliminary injunction to stop a former employee from competing, shifting the burden of proof to the employee. This is a game-changing enforcement advantage.

For employees and agreements not covered by the CHOICE Act, the existing framework of Fla. Stat. § 542.335 still governs. We continue to draft and enforce traditional non-compete, non-solicitation, and non-disclosure agreements under this statute, ensuring they are supported by a legitimate business interest and are reasonable in time, area, and line of business.
